Terms of Use

These Terms of Use (the "Terms") are a binding agreement between you and TRAKID, LLC ("TRAKID," "we," "us," or "our") governing your access to and use of Explorer Quest—including Compass Quest and Adventure Quest—CheQRboard, related customer-management systems, websites, apps, wearables, activation devices, content, and services (collectively, the "Services").

Where these Terms are presented or made reasonably available, by accessing or using a Service, creating or using an account, pairing or wearing a device, continuing through a CheQRboard experience, or clicking to accept, you agree to these Terms. If you do not agree, do not use the Services. A separate order form, master services agreement, venue agreement, or data-processing agreement signed by TRAKID and a Venue Customer controls over these Terms to the extent of a direct conflict for that customer relationship.

1. Product descriptions

Compass Quest combines the Explorer Quest iOS or Android application with a rechargeable compass wearable that pairs by Bluetooth, may use GNSS/satellite location, displays illuminated directions, and may produce prerecorded audio or vibration. Approved configurations may include wrist or arm bands using hook-and-loop, clip, silicone, elastic, or similar straps, or a breakaway lanyard. Adventure Quest uses programmed paper, silicone, elastic-fabric, or other approved wearable bands to interact with venue-installed bump boxes or checkpoints that may trigger lights, animatronics, projections, sound, fog, or other effects without a consumer app. CheQRboard lets authorized organizations manage dynamic QR codes, content, surveys, games, translations in up to 134 supported languages, analytics, and Stripe Connect payment or donation experiences.

Geographic availability. Explorer Quest, including Compass Quest and Adventure Quest, is licensed and supported only for use at authorized venues physically located in the United States. TRAKID does not authorize the export, deployment, rental, resale, or operation of Explorer Quest hardware outside the United States without a separate written agreement. Availability of the Explorer Quest app through an app store does not authorize use outside this territory. CheQRboard may be offered internationally, subject to applicable law, customer agreements, and product availability.

Product names may be used interchangeably in marketing or venue materials, but these Terms apply to all versions. Features vary by hardware, venue, subscription, operating system, geography, connectivity, and configuration. Descriptions of planned, beta, pilot, or upcoming features—including expanded Stripe analytics—are not promises of availability.

2. Eligibility, authority, and minors

You must be at least 18 years old, or the age of legal majority where you live, to create a Compass Quest account, administer a Venue Customer organization, bind an organization, submit payment, or accept these Terms for a child. If you use the Services for an organization, you represent and warrant that you have authority to bind it. An adult may permit a minor to participate only under the adult’s active supervision and subject to venue rules.

A child may wear a properly fitted wearable, but the adult account holder remains responsible for account activity, device permissions, supervision, route and venue decisions, and information submitted about or by the child. Public access to a QR code does not mean every question or linked destination is appropriate for children. Venue Customers must configure child-directed experiences lawfully and may not use TRAKID tools to evade parental consent, school authorization, age-assurance, or child-safety obligations.

3. Accounts, authentication, and administrator access

• Provide accurate, current information and maintain control of your telephone number, email account, device, password, and one-time codes.
• Do not share credentials or permit access beyond authorized personnel. Notify TRAKID promptly of suspected compromise.
• Organization administrators are responsible for adding, suspending, and removing users; assigning least-privilege folder and product permissions; and reviewing access regularly.
• TRAKID may rely on actions taken through authenticated credentials. You are responsible for those actions except to the extent caused by TRAKID’s breach of a nonwaivable duty.
• You may use the app’s Remove Account function. It triggers cascading deletion of the account and associated telephone number, players, band pairings, game sessions, waypoint navigation records, completions, skips, help events, location trail, and account-linked technical-log entries containing the telephone number or precise location. No backup copies of this deleted account data remain unless a valid legal hold or other mandatory preservation duty applies. See the Privacy Policy for the complete deletion description.

4. Limited license

Subject to these Terms, TRAKID grants you a limited, personal, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Services in object-code form solely for their intended visitor-experience or authorized business purpose during the applicable term. Venue Customer rights are additionally limited by the signed agreement, subscription tier, enabled products, and authorized organization and folders. No right is granted by implication, estoppel, or otherwise.

5. Ownership and intellectual property

The Services—including software, firmware, APIs, databases, schemas, workflows, interaction logic, QR routing, quest mechanics, hardware and industrial designs, audio behavior, documentation, visual presentation, trademarks, logos, trade dress, know-how, analytics structures, and all modifications and derivative works—are owned by TRAKID or its licensors and protected by intellectual-property and unfair-competition laws. Except for the limited license above, TRAKID reserves every right, title, and interest.

TRAKID, Explorer Quest, Compass Quest, Adventure Quest, CheQRboard, related marks, and product appearance may not be used without prior written permission. No purchase, rental, loan, demo, scan, or access transfers ownership of software, firmware, design, content templates, or confidential information.

Feedback. If you provide ideas, suggestions, test results, improvements, or other feedback, you irrevocably assign to TRAKID all right, title, and interest in that feedback and authorize TRAKID to use, commercialize, disclose, reproduce, modify, and distribute it without restriction, attribution, or compensation. If an assignment is ineffective, you grant an exclusive, perpetual, worldwide, irrevocable, fully paid, transferable, sublicensable license for those purposes.

6. Restrictions

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WILL NOT, AND WILL NOT ENABLE ANYONE TO:

• copy, modify, translate, adapt, create derivative works from, sell, rent, lease, sublicense, distribute, publish, frame, mirror, or commercially exploit any part of the Services except as expressly authorized in writing;
• reverse engineer, decompile, disassemble, decode, discover source code or underlying ideas, bypass encryption, extract firmware, probe hardware, or defeat a technical protection, except only to the narrow extent a nonwaivable law expressly permits after required notice;
• scrape, crawl, harvest, index, data mine, bulk download, use automated means, or access an undocumented endpoint or API;
• use any Service, output, content, schema, interaction, screenshot set, or data to train, fine-tune, evaluate, benchmark, or develop an artificial-intelligence, machine-learning, computer-vision, competing QR, gamification, navigation, wearable, analytics, or content-management system;
• benchmark, publish performance results, conduct competitive analysis, or disclose nonpublic technical information without TRAKID’s prior written consent;
• circumvent tenant, folder, role, subscription, feature, venue, rate, location, or device restrictions; access another organization’s data; or test vulnerabilities without express written authorization defining scope;
• clone, alter, obscure, redirect, counterfeit, or misuse a TRAKID QR code, wearable, device identifier, bump box, badge, content link, or trademark;
• interfere with availability or security; introduce malware; overload systems; impersonate another person; or use credentials, telephone numbers, or devices without authority; or
• use the Services for surveillance, stalking, discrimination, unlawful tracking, weapons, emergency response, critical infrastructure, medical diagnosis, or any illegal, deceptive, abusive, dangerous, or rights-infringing purpose.

7. Venue Customer content and configuration

A Venue Customer controls the content, coordinates, zones, questions, response fields, media, links, translations, games, badges, calls to action, donation destinations, and authorized users it configures ("Customer Content"). The Venue Customer represents and warrants that it owns or has all rights, notices, consents, licenses, and lawful bases needed for Customer Content and related data collection; that content is accurate, accessible, age-appropriate, and lawful; and that coordinates, routes, safety instructions, terms, and human-reviewed translations are fit for the intended venue and audience.

The Venue Customer grants TRAKID and its providers a worldwide, nonexclusive, royalty-free license during the relationship and reasonable wind-down period to host, reproduce, transmit, format, translate, display, process, back up, and otherwise use Customer Content solely to provide, secure, and support the contracted Services and comply with law. TRAKID may improve the Services using aggregated or properly deidentified information and may use identifiable Customer Content for improvement only when separately authorized. The Venue Customer retains ownership of its Customer Content. TRAKID may remove, disable, quarantine, or preserve content reasonably believed unlawful, unsafe, infringing, deceptive, malicious, or contrary to contract.

8. Visitor submissions

You are responsible for anything you submit, upload, answer, or transmit, including open responses, contact details, files, images, links, and survey content ("User Content"). Do not submit information you lack authority to provide or content that is illegal, harmful, defamatory, invasive, infringing, malicious, sexually exploitative, or contains another person’s confidential or sensitive information without authorization. Uploaded files are not currently subjected to automated malware scanning; never upload executable code, malware, or material that could compromise a device or system.

You grant TRAKID, the applicable Venue Customer, and their providers a nonexclusive, worldwide, royalty-free license to host, copy, transmit, display to authorized recipients, translate where requested, analyze, and otherwise process User Content to operate the experience, provide analytics, enforce these Terms, and comply with law. Venue-specific notices may request a broader license for that Venue Customer. TRAKID does not endorse User Content and has no obligation to monitor it, but may moderate, block, preserve, or disclose it as permitted by law.

9. Privacy

The TRAKID Privacy Policy explains TRAKID’s practices and is incorporated by reference. A Venue Customer may be the controller or business for its content, surveys, visitor submissions, and analytics and may present a separate notice. An operating-system permission or these Terms do not replace consent required by privacy law. Venue Customers must execute required processing terms and must not collect regulated health, biometric, financial, government-identifier, or child data through a general-purpose template without written authorization and compliant controls.

10. Location and navigation limits

During an active Compass Quest, both the phone and paired wearable may provide location used for navigation and arrival detection. Location transmission may continue while the phone is locked or the app is minimized so the active quest can continue. Authorized TRAKID personnel and authorized administrators of the applicable Venue Customer may be able to view telephone numbers, precise or live location, location trails, paired wearable identifiers, and individual quest responses within their permitted organization and product access. Transmission of phone- and wearable-derived location to TRAKID’s servers stops immediately when the user finishes or exits the quest.

Location and direction may be delayed, unavailable, or inaccurate because of device sensors, calibration, magnetic interference, buildings, foliage, weather, satellite visibility, Bluetooth range, connectivity, battery, software, venue configuration, or user movement. Arrows indicate a general direction to a configured point, not a verified safe or passable route. Never enter restricted areas, leave paths, cross barriers, approach animals, machinery, water, traffic, edges, construction, or hazards, or ignore staff and signs because a device points in a direction.

If a person is missing, injured, in danger, or needs assistance, stop using the Service and immediately contact venue staff and the appropriate emergency service. TRAKID does not monitor every user in real time and does not promise that a location, arrival, alert, vibration, sound, or activation will occur.

11. Wearable and venue-effect safety

• An adult must inspect fit and condition; supervise children; remove the device if it causes pain, numbness, irritation, overheating, swelling, dizziness, distress, or entanglement risk; and return damaged equipment to venue staff.
• Do not open, puncture, crush, burn, short, modify, ingest, place in a mouth, or charge a device except with approved equipment and instructions. Keep small parts, clips, batteries, and cords away from young children.
• Do not expose a device to water, chemicals, extreme heat, or impact unless it is expressly marked for that condition. A lanyard or neck-worn configuration can present strangulation or entanglement risk; use only an approved breakaway design and adult supervision.
• Bluetooth and radio devices may interfere with medical or other equipment. Follow the manufacturer’s, venue’s, airline’s, and medical provider’s restrictions. People with implanted devices should obtain appropriate professional guidance.
• Bump-box experiences may trigger flashing lights, loud or sudden sound, vibration, fog, moving animatronics, projections, darkness, or startle effects. Follow venue warnings; do not participate if an effect could be unsafe due to photosensitivity, sensory sensitivity, respiratory conditions, pregnancy, mobility limits, hearing concerns, or another condition.
• Wearables are not protective equipment, medical devices, toys for unsupervised use, or guaranteed waterproof products. Return reusable devices as directed; do not transfer, resell, or remove venue property without permission.

12. QR codes, links, and third-party services

A dynamic QR destination may change after signage is printed. Inspect the displayed domain and context before proceeding. The Services may link to Venue Customer or third-party websites, maps, media, ticketing, donation, social, or payment services. TRAKID does not control and is not responsible for their content, availability, accessibility, safety, privacy, security, products, promises, or transactions. A link is not endorsement. Third-party terms and notices apply.

13. Payments and donations

CheQRboard uses Stripe Connect for live payment and donation experiences. Stripe processes payment credentials directly, and the Venue Customer or designated organization is the merchant, fundraiser, charity, or recipient. Authorized TRAKID personnel may view transaction information available through the connected Stripe dashboard, but TRAKID does not independently store payment credentials or transaction records. TRAKID is not the seller, merchant of record, charity, fundraiser, tax adviser, escrow agent, or guarantor unless an express signed agreement says otherwise. The Venue Customer is solely responsible for price, campaign claims, receipts, charitable registration, tax deductibility, refunds, fulfillment, chargebacks, and donor communications.

14. Machine translation and accessibility

CheQRboard may send Venue Customer content and visitor-entered survey text, including open responses, to Microsoft Azure Translator when the applicable translation feature is used. TRAKID currently uses standard Azure Translator text translation and does not use Custom Translator models or training workspaces. Temporary source-text and translated-output copies, including associated metadata, are deleted after successful processing and within no more than 30 days when retained for failed-job troubleshooting, unless a valid legal hold or other mandatory preservation duty applies. Other visitor-entered free text outside surveys is not currently sent to Azure Translator. TRAKID may expand translation functionality in the future only after updating applicable notices and obtaining any consent required by law. Venue Customers must not configure translated surveys to request personal or sensitive information unless the collection and translation are necessary, lawfully authorized, properly disclosed, and covered by appropriate processor arrangements.

Machine-generated and customer-supplied translations may be inaccurate. Do not rely on machine translation for safety, emergency, legal, consent, allergen, medical, or accessibility information. Venue Customers must obtain qualified review for material content and provide legally required accessible alternatives. TRAKID does not warrant that every customer-created page, media file, color choice, upload, route, or third-party destination satisfies every accessibility standard.

15. Analytics

Analytics are estimates derived from scans, clicks, views, device events, responses, watch/listen time, completion, and other signals. They may be affected by blockers, connectivity, repeated scans, shared devices, bots, caching, privacy settings, deletion, attribution logic, and configuration. Analytics are not audited financial statements, scientific research, attendance counts, tax records, safety records, or a guarantee of donation revenue, learning, conversion, or visitor behavior. Venue Customers must independently validate material decisions.

16. Availability, updates, beta features, and support

TRAKID may add, modify, suspend, discontinue, meter, or limit any feature; deploy updates; require firmware or app upgrades; change supported devices or operating systems; and perform maintenance. We do not guarantee uninterrupted, error-free, secure, or universally compatible operation. Beta, pilot, preview, or upcoming features may be incomplete, confidential, changed, or withdrawn and are used at the user’s and Venue Customer’s risk. Service levels and support commitments exist only in a signed agreement.

17. Suspension and termination

TRAKID may suspend, restrict, or terminate access immediately if reasonably necessary to address nonpayment, security risk, legal demand, abuse, infringement, safety risk, breach, unauthorized access, or harm to the Services or others. You may stop using the Services at any time. On termination, the license ends and you must cease access and return venue-owned hardware. Provisions that by nature should survive—including ownership, feedback, restrictions, disclaimers, liability limits, indemnity, dispute resolution, and accrued obligations—survive.

18. Copyright and intellectual-property complaints

Send a detailed infringement notice to [email protected] with the subject "IP Notice" and include identification of the protected work, the allegedly infringing material and location, contact information, a good-faith statement, an accuracy-and-authority statement, and a physical or electronic signature. TRAKID may remove material and suspend or terminate repeat infringers. This contact provision does not represent that the email address is a registered statutory agent.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, HARDWARE, SOFTWARE, CONTENT, TRANSLATIONS, ANALYTICS, DIRECTIONS, QR DESTINATIONS, AND SUPPORT ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. TRAKID AND ITS AFFILIATES, LICENSORS, PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RESULTS, SECURITY, AVAILABILITY, COMPATIBILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TRAKID DOES NOT WARRANT THAT A QUEST, LOCATION, DIRECTION, ARRIVAL, ACTIVATION, AUDIO, VIBRATION, QR CODE, CONTENT, TRANSLATION, DONATION, SURVEY, ANALYTIC, OR CUSTOMER CONFIGURATION WILL BE CORRECT, SAFE, AVAILABLE, OR SUITABLE; THAT DEFECTS WILL BE CORRECTED; OR THAT DATA WILL NEVER BE LOST OR ACCESSED WITHOUT AUTHORIZATION. YOU ASSUME THE RISKS OF USING CONNECTED DEVICES, MOBILE LOCATION, PUBLIC VENUES, CUSTOMER CONTENT, THIRD-PARTY LINKS, AND AUTOMATED TRANSLATION.

Some jurisdictions do not allow certain disclaimers. In those jurisdictions, exclusions apply only to the maximum extent permitted, and nonwaivable warranties remain for the minimum legally required period and scope.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAKID AND ITS AFFILIATES, LICENSORS, PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DONATIONS, GOODWILL, USE, DATA, CONTENT, OR OPPORTUNITY; PERSONAL DEVICES OR PROPERTY; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM A VENUE, ROUTE, THIRD PARTY, CUSTOMER CONTENT, QR DESTINATION, USER SUBMISSION, TRANSLATION, ANALYTIC, OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAKID’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID DIRECTLY TO TRAKID FOR THE AFFECTED CONSUMER SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM. FOR A VENUE CUSTOMER, THE LIABILITY PROVISIONS IN ITS SIGNED AGREEMENT CONTROL.

The exclusions and cap allocate risk and are essential to the bargain and apply regardless of theory and even if a remedy fails of its essential purpose. They do not exclude liability that cannot lawfully be limited, which may include liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or violation of mandatory consumer rights, depending on jurisdiction.

21. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless TRAKID and its affiliates, licensors, providers, officers, employees, and agents from claims, demands, investigations, losses, liabilities, judgments, penalties, damages, costs, and reasonable legal fees arising from or relating to your Customer Content or User Content; your configuration, coordinates, routes, effects, data collection, donation or payment campaign; your breach of these Terms or law; infringement or privacy violation; negligence or misconduct; unauthorized account or device use; or dispute with a visitor, Venue Customer, donor, payment provider, or third party. TRAKID may control the defense and settlement; you will cooperate and may not settle in a way that admits fault, imposes obligations, or fails to release TRAKID without written consent. This section does not require a consumer to indemnify TRAKID for TRAKID’s own conduct where prohibited by law.

22. Dispute resolution, arbitration, and class-action waiver

Informal notice first. Before starting arbitration, the claimant must send an individualized written Notice of Dispute to the other party and allow 60 days for a good-faith resolution conference. A notice to TRAKID must be emailed to [email protected] with the subject "Legal Dispute Notice" and mailed to the address in Section 27. It must state the claimant’s name and contact information, account or telephone identifier if applicable, facts, legal basis, requested relief, and personally signed authorization. Limitation periods are tolled during the 60-day process.

Agreement to arbitrate. If unresolved, any dispute arising out of or relating to the Services, these Terms, marketing, privacy, hardware, content, or the parties’ relationship will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, as modified here. The Federal Arbitration Act governs. The arbitrator has exclusive authority to resolve disputes about formation, scope, enforceability, or arbitrability, except that a court decides disputes concerning the class-action waiver. Judgment may be entered in any court with jurisdiction.

Process and fees. Arbitration may occur by documents, telephone, video, or in person in the county where the consumer lives, unless the parties agree otherwise. AAA rules govern fees, and TRAKID will pay fees it is required to pay for a consumer arbitration. Each party bears its own legal fees unless law or the arbitrator permits an award. The arbitrator may award the same individualized remedies a court could award but may not grant relief for anyone other than the individual claimant.

Class waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY. NO DISPUTE MAY PROCEED AS A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. If this waiver is finally held unenforceable for a particular claim or remedy, that claim or remedy proceeds in court after arbitrable matters are completed.

Exceptions. Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, credentials, systems, security, confidentiality, or prevent unauthorized access or imminent harm without waiving arbitration. A person may report to a regulator or law-enforcement agency.

Opt out. You may opt out of arbitration by sending an email to [email protected] with the subject "Arbitration Opt-Out" within 30 days after first accepting these Terms. Include your full name, telephone or account identifier used with the Service, and a clear statement that you opt out. Opting out does not affect other Terms and will not result in retaliation.

International and mandatory-law carveout. This section does not deprive an EEA, UK, or other consumer of access to a court or forum that cannot lawfully be waived. If local law makes pre-dispute consumer arbitration or a class waiver unenforceable, the unenforceable portion does not apply to that consumer.

23. Governing law and time to bring claims

The Federal Arbitration Act governs arbitration. Otherwise, North Carolina law governs without regard to conflict-of-laws principles, except mandatory consumer law that cannot be waived. Any nonarbitrable proceeding must be brought exclusively in the state courts located in Johnston County, North Carolina, or the United States District Court for the Eastern District of North Carolina, and each party consents to jurisdiction and venue.

To the maximum extent permitted by law, a claim must be filed within one year after it accrues or it is permanently barred. This contractual period does not shorten a limitation period that applicable law prohibits the parties from shortening.

24. App-store terms

Apple. If you obtained the app through Apple’s App Store, these Terms are between you and TRAKID, not Apple. Apple is not responsible for the app or its content and has no maintenance or support obligation. The license is limited to use on Apple-branded products you own or control as permitted by the App Store Usage Rules, including eligible Family Sharing or volume purchasing. If the app fails an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any; to the maximum extent permitted, Apple has no other warranty obligation. TRAKID, not Apple, is responsible for product claims, legal compliance, consumer-protection claims, and intellectual-property claims concerning the app. You represent that you are not in a U.S.-embargoed country or on a U.S. prohibited-party list. You must comply with third-party terms. Apple and its subsidiaries are third-party beneficiaries and may enforce this paragraph.

Google and other stores. If obtained through Google Play or another distributor, the distributor is not a party to these Terms and has no responsibility for the app except as its own terms require. Its distribution, refund, and device rules also apply. If these Terms conflict with mandatory store terms, the mandatory store terms control only to that extent.

25. Export, sanctions, and government use

You will comply with applicable export-control, sanctions, and trade laws and will not access or provide the Services in a prohibited country or to a prohibited person or end use. Explorer Quest hardware and its associated app, firmware, activation devices, and technical materials may not be exported, deployed, rented, resold, or operated outside the United States without TRAKID’s express written authorization. U.S. Government use is limited to the rights customarily provided to the public under these Terms and any applicable procurement agreement.

26. General terms

• Changes. We may update these Terms prospectively. Material changes will receive notice as required. Continued use after the effective date constitutes acceptance where lawful; new consent will be obtained where required.
• Assignment. You may not assign or transfer these Terms without TRAKID’s written consent. TRAKID may assign them in connection with an affiliate, financing, reorganization, merger, sale, or transfer of the relevant business, subject to law.
• Force majeure. TRAKID is not liable for delay or failure caused by events beyond reasonable control, including disasters, weather, power or network failure, labor action, epidemic, governmental action, venue closure, supply shortage, satellite or platform outage, or third-party service failure.
• Severability and waiver. Invalid provisions are enforced to the maximum permissible extent and severed if necessary. Failure to enforce is not waiver. Section headings are for convenience.
• Entire agreement. These Terms, the Privacy Policy, and any applicable signed agreement are the complete agreement about their subject and supersede prior public terms on that subject. Purchase-order boilerplate does not modify them.
• Notices. Electronic notices are effective when sent to the account, displayed in the Service, or posted where legally permitted. Legal notices to TRAKID must use Section 27.
